These Terms of Service (the “Terms”) govern your access to and use of www.magniflex.us and any related websites, online stores, features, customer accounts, quizzes, recommendation tools, content, products, and services that link to these Terms (collectively, the “Services”). The Services are operated by Magniflex USA Ltd., Inc. (“Magniflex,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Services, creating an account, submitting an order, purchasing a product or service, or otherwise indicating your acceptance, you agree to be bound by these Terms and by the policies incorporated into them by reference. If you do not agree, do not use the Services.

These Terms apply to purchases made through the Magniflex United States website and are intended for customers located in the United States. Additional or different terms may apply to purchases made through an authorized Magniflex retailer, marketplace, distributor, or website operated for another country.

1. Acceptance of Terms and Incorporated Policies

These Terms form a binding agreement between you and Magniflex. They incorporate by reference our Privacy Policy, Shipping Policy, Returns and Refund Policy, Warranty Policy, Gift Card terms displayed at the time of purchase, and any other rules, notices, or policies posted on the Services that expressly state that they form part of these Terms.

If a product, promotion, financing arrangement, delivery service, digital feature, or other offering is subject to specific terms presented at the time of purchase or use, those specific terms will also apply. If there is a conflict, the more specific terms will govern with respect to that product, promotion, financing arrangement, delivery service, digital feature, or offering.

Your use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

2. Eligibility and United States Availability

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, and legally capable of entering into a binding contract to create an account or place an order. By using the Services, you represent that you meet these requirements.

The online store is intended for sales and delivery within the United States. Product availability, delivery services, promotions, warranties, and pricing may vary by destination. We may decline orders for destinations or circumstances we do not support.

The Services are not directed to children. A parent or legal guardian who permits a minor to access the Services is responsible for the minor’s activity to the extent permitted by law.

3. Customer Accounts, Guest Checkout, and Social Login

You may be able to purchase as a guest or create a customer account. You agree to provide accurate, current, and complete information and to update it when necessary.

You are responsible for maintaining the confidentiality of your password, login credentials, and account activity. You must promptly notify us at customercare@magniflex.us if you believe your account has been accessed or used without authorization.

The Services may allow you to register or sign in through a third-party identity provider, such as Google or Facebook. Your use of a social login is also governed by that provider’s terms and privacy practices. We are not responsible for the availability, security, or operation of a third-party login service.

We may suspend, restrict, or terminate an account if we reasonably believe it is being used fraudulently, unlawfully, in violation of these Terms, or in a manner that may harm Magniflex, another user, or a third party.

4. Products and Services

We offer Magniflex mattresses, pillows, adjustable bases, bedding accessories, gift cards, delivery services, and other products and services. Certain accessories or other items may be manufactured, supplied, fulfilled, or serviced by third parties.

Product descriptions, photographs, videos, dimensions, colors, materials, comfort descriptions, firmness descriptions, performance statements, and other information are provided for general informational purposes. We make reasonable efforts to present products accurately, but display settings, manufacturing tolerances, natural material variations, product updates, and other factors may cause differences between online content and the product received.

Comfort, sleep quality, temperature perception, and similar experiences are subjective and may vary by individual. General product information, website content, customer-care communications, live-chat communications, quizzes, and automated recommendations are not medical advice and are not a substitute for advice from a qualified healthcare professional.

We may modify, improve, discontinue, limit, or replace products or services at any time. We do not guarantee that every product, size, color, configuration, accessory, promotion, digital feature, or service will always be available.

5. Third-Party Products and Manufacturer Terms

Products supplied or manufactured by third parties may be subject to additional terms, instructions, safety information, limitations, or manufacturer warranties. You are responsible for reviewing and following the documentation provided with the product.

Except where Magniflex expressly provides a separate warranty or obligation, claims relating to a third-party product may need to be made directly to the manufacturer or supplier. Nothing in these Terms limits rights that cannot lawfully be limited.

The inclusion of a third-party product on the Services does not constitute a representation that it is suitable for every purpose, room, bed frame, electrical system, or customer need.

6. Prices, Taxes, and Payment

All prices are shown in U.S. dollars unless otherwise stated. Prices, promotions, discounts, product availability, and service charges may change without notice before an order is accepted.

We make reasonable efforts to ensure pricing and product information are accurate. If a price, discount, description, availability status, or other material term is incorrect, we may correct the information and, before shipment or performance, cancel the affected order or contact you for instructions. If payment has already been captured for a canceled order, we will issue the applicable refund.

You are responsible for all applicable sales, use, excise, local, or other taxes and charges associated with your purchase, except taxes imposed on Magniflex’s income. Taxes may be calculated based on the information and delivery address you provide.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize Magniflex and its payment processors to charge the amounts shown at checkout, including applicable taxes, shipping, delivery, and service fees.

Payments may be processed by Shopify, Shop Pay, PayPal, Google Pay, Affirm, or other providers displayed at checkout. Their separate terms and privacy policies apply. Financing decisions, disclosures, interest, installment schedules, eligibility, and account servicing are controlled by the financing provider, not Magniflex.

7. Orders, Acceptance, and Cancellation

Your submission of an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily constitute acceptance. We accept an order when we send an acceptance or shipment confirmation, begin providing the purchased service, or otherwise expressly confirm acceptance.

We may verify billing, shipping, identity, payment, and order information and may contact you for additional information. We may refuse, limit, hold, or cancel an order for legitimate reasons, including suspected fraud, unauthorized payment activity, inaccurate information, pricing or inventory errors, product unavailability, quantity limitations, resale activity, shipping restrictions, or violation of these Terms.

We may limit quantities purchased per person, household, account, payment method, billing address, shipping address, promotion, or order. Products purchased through the consumer website are intended for personal or household use and not for unauthorized resale.

Requests to change or cancel an order are not guaranteed. Orders may enter production, fulfillment, or delivery scheduling quickly. Any cancellation rights, fees, or restrictions will be governed by the applicable order status and the policies or service terms presented to you.

8. Promotions, Discount Codes, and Offers

Promotions, discount codes, gifts with purchase, bundles, financing offers, and limited-time offers are subject to the specific terms displayed with the offer. Unless expressly stated, offers cannot be combined, applied retroactively, exchanged for cash, transferred, or used toward prior purchases.

We may modify or terminate a promotion where permitted by law, including in response to errors, fraud, abuse, unauthorized distribution of a code, technical failures, inventory limitations, or circumstances outside our reasonable control.

Discounts may exclude taxes, shipping, delivery services, White Glove Delivery, gift cards, certain brands, third-party products, replacement parts, or other designated items.

9. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy and by any delivery terms shown at checkout or communicated during scheduling. Estimated shipping and delivery dates are estimates, not guarantees, unless expressly stated otherwise.

You are responsible for providing a complete and accurate delivery address, contact information, access instructions, and other information reasonably required to complete delivery. Additional charges or delays may apply if information is incomplete, access is unavailable, or redelivery is required.

Risk of loss and title pass as provided by applicable law and the relevant shipping terms. You should inspect packages and products promptly and report visible loss or damage in accordance with the Shipping Policy and carrier or delivery instructions.

10. White Glove Delivery and Other In-Home Services

White Glove Delivery and other in-home services may be available for selected products, destinations, or fees. Service availability and scope may vary by location, product, building conditions, carrier, and appointment availability.

Unless expressly included in the service description, White Glove Delivery may not include structural modifications, electrical work, removal of doors or windows, disassembly or movement of unrelated furniture, hoisting, wall mounting, disposal of non-eligible items, or correction of unsafe or inaccessible conditions.

You are responsible for ensuring that the delivery route, elevators, stairways, doorways, room, flooring, and installation area are accessible, safe, clear, and suitable for the product. You must disclose stairs, restricted access, building requirements, certificates of insurance, elevator reservations, parking restrictions, or other relevant conditions before delivery.

An adult at least 18 years old must be present during the appointment and authorized to approve placement, assembly, and completion. If the delivery team reasonably determines that the site is unsafe, inaccessible, unsuitable, or materially different from the information provided, the service may be rescheduled, modified, or declined. Additional fees may apply where permitted and disclosed.

You should inspect the product and surrounding property before the delivery team leaves and note visible product or property damage on the delivery documentation. Claims should be reported promptly with photographs and supporting information. This procedure does not waive rights that cannot be waived under applicable law.

11. Returns and Refunds

Returns, exchanges, cancellations, comfort trials, and refunds are governed by our Returns and Refund Policy and any product-specific terms presented at purchase.

Certain items may be final sale, non-returnable, subject to restocking, pickup, return-shipping, or service fees, or subject to hygiene, condition, timing, packaging, and authorization requirements. Gift cards, delivery charges, installation charges, and completed services may be non-refundable except where required by law or expressly stated otherwise.

Refund timing may depend on inspection, return receipt, payment-provider processing, and bank processing. Refunds are ordinarily issued to the original payment method unless otherwise required or agreed.

12. Product Warranties

Magniflex-branded products are covered only by the written warranty applicable to the specific product and purchase. Warranty coverage, duration, exclusions, remedies, proof-of-purchase requirements, support procedures, and eligibility are governed by the Warranty Policy and any warranty documentation supplied with the product.

A warranty does not replace or extend a return or comfort-trial period unless the applicable policy expressly states otherwise. Normal wear, comfort preference, misuse, improper support, unauthorized alteration, damage during movement, and conditions described in the applicable warranty may not be covered.

Third-party products may be covered by the third-party manufacturer’s warranty rather than a Magniflex warranty.

13. Gift Cards

Magniflex gift cards may be offered in digital or other formats and may be redeemed only through the channels, products, territories, and conditions disclosed at purchase. Gift cards are not credit or debit cards and are not bank accounts.

Gift cards cannot be redeemed for cash, refunded, resold, transferred for value, or used to purchase another gift card except where required by applicable law. Promotional gift cards may be subject to additional restrictions or expiration terms stated in the promotion, to the extent permitted by law.

You are responsible for protecting gift card codes and account access. We are not responsible for lost, stolen, misdirected, or unauthorized use of a gift card except as required by law. We may refuse or cancel gift card transactions associated with fraud, abuse, unauthorized resale, or violation of these Terms.

Any expiration date, inactivity fee, replacement right, or refund right will be governed by the terms displayed with the gift card and applicable federal and state law.

14. Reviews, Photos, and Other User Content

The Services may allow you to submit ratings, reviews, photographs, videos, questions, comments, testimonials, feedback, or other content (“User Content”). You retain any ownership rights you have in your User Content.

By submitting User Content, you grant Magniflex and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify for formatting, translate, publish, display, distribute, adapt, create derivative works from, and otherwise use the User Content in connection with our products, Services, advertising, marketing, customer service, and business, in any media, to the extent permitted by law.

You represent that you own or control the rights necessary to submit the User Content; that it is truthful and based on your genuine experience where represented as a review; and that it does not infringe intellectual property, privacy, publicity, contractual, or other rights, contain unlawful or harmful material, disclose confidential information, impersonate another person, or include malicious code, spam, or unauthorized advertising.

We may moderate, reject, remove, edit for formatting, or decline to publish User Content that violates these Terms, is fraudulent or misleading, is unrelated to the relevant product or service, or creates legal, security, or privacy risks. We do not undertake a duty to monitor all submissions, and we do not guarantee that every submitted review will be published. We will not suppress a genuine review merely because it is negative. Reviews express the views of the individual author and do not necessarily reflect Magniflex’s views.

If you submit ideas, suggestions, or feedback about our products or Services, you agree that we may use them without restriction or compensation, subject to applicable law.

15. AI Features, Quizzes, and Personalized Recommendations

The Services may offer artificial intelligence-powered tools, chat interfaces, virtual assistants, quizzes, recommendation engines, product-matching tools, personalized content, or other automated features (collectively, “AI Features”). AI Features may use information you choose to provide, such as sleep preferences, body measurements, sleep position, temperature preferences, comfort preferences, and product interests, to generate responses, content, or product recommendations.

AI Features are provided for general informational and shopping-assistance purposes only. They do not provide medical advice, diagnosis, or treatment and are not a substitute for advice from a physician or other qualified healthcare professional. Do not rely on AI Features for emergencies or for decisions concerning a medical condition, injury, pregnancy, disability, sleep disorder, or treatment plan.

Automated outputs may be incomplete, inaccurate, or unsuitable for your circumstances. Product comfort and suitability are subjective. You are responsible for reviewing product specifications, policies, warnings, and other information before purchasing or acting on a recommendation.

Do not submit confidential medical records, government identifiers, payment card numbers, passwords, or other information that is not reasonably necessary to use an AI Feature. Personal information processed through AI Features is handled as described in our Privacy Policy.

We may update, limit, suspend, or discontinue AI Features and do not guarantee that a specific feature, response, recommendation, or personalized experience will remain available. Nothing in this section limits liability or consumer rights that cannot lawfully be excluded.

16. Intellectual Property

The Services and their content, design, layout, text, software, code, product names, photographs, graphics, videos, audio, catalogs, manuals, logos, icons, trade dress, trademarks, service marks, quizzes, scoring logic, recommendation systems, databases, compilations, and other materials are owned by or licensed to Magniflex and are protected by United States and international intellectual property laws.

Magniflex®, Memoform®, Magnistretch®, Magnicool®, Magnigel®, DualCore®, and other names, logos, and marks displayed on the Services may be trademarks or registered trademarks of Magniflex or its affiliates. No license or right to use any mark is granted except with prior written permission.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial shopping and informational purposes. You may not copy, reproduce, scrape, download in bulk, republish, sell, license, modify, create derivative works from, frame, mirror, distribute, publicly display, reverse engineer, or commercially exploit any portion of the Services without written permission, except as permitted by law.

17. Acceptable Use

You may not use the Services to: violate any law or third-party right; engage in fraud or deceptive activity; interfere with security or operation; introduce malware; attempt unauthorized access; collect information about other users; use automated systems to scrape, crawl, index, or extract content without permission; bypass access controls; submit false orders; abuse promotions, reviews, gift cards, returns, financing, AI Features, or customer service; impersonate another person; use AI outputs or product data to train or develop a competing system without written permission, except where such restriction is prohibited by law; or use the Services for unauthorized resale or commercial exploitation.

We may investigate suspected violations and cooperate with law enforcement, payment providers, platforms, carriers, and other parties where appropriate and permitted by law.

18. Electronic Communications

When you use the Services, submit an order, create an account, use a digital feature, or contact us electronically, you consent to receive transactional and administrative communications electronically, including by email, account notice, website notice, or other electronic means.

You agree that electronic records, notices, disclosures, and communications satisfy legal requirements that such communications be in writing, to the extent permitted by law. Marketing communications remain subject to your preferences and applicable law.

You are responsible for maintaining a valid email address and the hardware and software needed to access electronic communications.

19. Third-Party Websites, Platforms, and Services

The Services may link to or integrate with third-party websites, social networks, payment providers, financing providers, identity providers, delivery providers, analytics providers, AI technology providers, or other services. Links and integrations are provided for convenience and do not imply control or endorsement.

Third-party services are governed by their own terms, privacy policies, fees, and practices. Magniflex is not responsible for third-party content, availability, security, acts, omissions, or decisions, including financing decisions and social-login services, except to the extent required by law.

20. Website Information and Customer-Care Communications

We strive to keep the Services accurate and available, but information may occasionally be incomplete, outdated, or erroneous, and the Services may be interrupted. We may correct errors, update content, or suspend functionality without notice where reasonable.

Customer-care representatives, chat agents, automated tools, AI Features, quizzes, recommendation tools, and website content may provide general product and service information. Only written terms expressly authorized by Magniflex can modify an order, policy, warranty, or these Terms. Informal statements and automated outputs do not create additional warranties or obligations unless confirmed in an authorized written agreement.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, AI FEATURES, AUTOMATED OUTPUTS, AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SUITABILITY OF RECOMMENDATIONS, OR UNINTERRUPTED OPERATION.

THE FOREGOING DISCLAIMER APPLIES TO THE SERVICES, DIGITAL FEATURES, AND WEBSITE CONTENT. PRODUCT WARRANTIES, IF ANY, ARE GOVERNED BY THE APPLICABLE WRITTEN WARRANTY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNIFLEX, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF MAGNIFLEX ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MAGNIFLEX FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT THAT THIS LIMIT DOES NOT REPLACE OR REDUCE ANY REMEDY EXPRESSLY PROVIDED UNDER AN APPLICABLE PRODUCT WARRANTY.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including where applicable liability for fraud, willful misconduct, or personal injury caused by negligence. Your statutory consumer rights remain unaffected.

23. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Magniflex, its affiliates, and their officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful use of the Services, your material violation of these Terms, or your User Content’s infringement of a third party’s rights.

This section does not require you to indemnify a party for its own negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

24. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law applies.

Subject to any applicable consumer right to bring a claim in another forum, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.

We have not included a mandatory arbitration provision or class-action waiver in these Terms. Any future addition of such a provision should be expressly presented and reviewed by qualified legal counsel before implementation.

25. Force Majeure

Magniflex will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, labor disruption, carrier interruption, port congestion, transportation shortage, supply-chain disruption, cyberattack, utility or telecommunications failure, governmental action, war, terrorism, civil unrest, or similar events.

This section does not eliminate refund, cancellation, or other rights that cannot lawfully be waived.

26. Suspension and Termination

We may suspend or terminate access to the Services, cancel accounts, or restrict features when reasonably necessary to protect the Services, enforce these Terms, prevent fraud or abuse, comply with law, or address security or operational risks.

Provisions that by their nature should survive termination will survive, including intellectual property, User Content licenses, disclaimers, limitations of liability, indemnification, governing law, and general provisions.

27. Changes to the Services and Terms

We may update the Services and these Terms to reflect changes in law, business practices, technology, products, digital features, or services. The “Last Updated” date identifies the latest revision.

Material changes will be communicated where required by law. Changes will not retroactively alter an accepted order unless permitted by law or agreed with you.

28. General Provisions

Entire Agreement. These Terms and incorporated policies constitute the entire agreement regarding the Services and supersede prior or contemporaneous communications on the same subject, except for a separate written agreement signed by an authorized Magniflex representative.

Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

No Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, corporate transaction, or transfer to an affiliate, subject to applicable law.

Headings. Headings are for convenience only and do not affect interpretation.

No Third-Party Beneficiaries. Except as expressly stated, these Terms do not create rights for any third party.
